Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Paisan AI, LLC ("Company," "we," "our," or "us") concerning your access to and use of the EDI Paisan website and application (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
Description of Service
EDI Paisan is a web-based tool for parsing, viewing, validating, and analyzing HIPAA X12 EDI (Electronic Data Interchange) files. The Service supports various healthcare transaction types including:
- 837P/837I – Healthcare claims
- 835 – Payment/remittance advice
- 270/271 – Eligibility inquiry and response
Data Processing by Service Tier
EDI Paisan offers different service tiers with different data processing approaches:
Free & Pro Tiers – Client-Side Processing
For our Free and Pro tiers, all EDI file processing occurs entirely within your web browser. Your EDI files are never uploaded to our servers. This means:
- Your data remains on your device
- We do not have access to the content of your EDI files
- You are responsible for the security of your own device and network
- Processing speed depends on your device's capabilities
Enterprise Tier – Server-Side Processing (Coming Soon)
Our upcoming Enterprise tier will include advanced features that require server-side processing, including AI-powered analytics and clearinghouse integrations. For these features:
- EDI files will be securely transmitted to and processed on our servers
- All data is encrypted in transit (TLS) and at rest
- Enterprise customers will agree to additional data handling terms
- Features requiring server-side processing will be clearly indicated in the application
User Accounts
To access certain features of the Service, you may be required to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Promptly update any information to keep it accurate
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the Service in violation of any applicable laws or regulations, including HIPAA
- Attempt to gain unauthorized access to any portion of the Service
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to transmit malware or other harmful code
- Reverse engineer, decompile, or disassemble any part of the Service
- Share your account credentials with unauthorized parties
- Use the Service for any purpose other than its intended use
Healthcare Data & HIPAA
EDI Paisan is designed as a tool for healthcare professionals working with EDI files. You remain responsible for:
- Compliance with HIPAA and other applicable healthcare regulations
- Ensuring appropriate authorization to access and process the EDI files you use
- Maintaining the security of Protected Health Information (PHI) on your devices
- Implementing appropriate safeguards within your organization
Free & Pro Tiers
For Free and Pro tiers, EDI Paisan processes files entirely client-side. We do not receive, maintain, or transmit your PHI, and therefore do not act as a Business Associate under HIPAA for these tiers.
Enterprise Tier (Coming Soon)
For Enterprise tier features that require server-side processing (such as AI-powered analytics and clearinghouse integrations), we will handle data in accordance with HIPAA requirements. Business Associate Agreements (BAAs) will be available for HIPAA-covered entities and their business associates who subscribe to Enterprise tier services. Enterprise customers will receive additional terms governing the handling of PHI.
Intellectual Property
The Service and its original content, features, and functionality are owned by Paisan AI, LLC and are protected by international copyright, trademark, and other intellectual property laws.
Your use of the Service does not grant you any ownership rights to any content, code, data, or materials you may access through the Service.
Subscription & Payment
Some features of the Service may require a paid subscription. If you choose to subscribe:
- You agree to pay all applicable fees as described at the time of purchase
- Subscriptions automatically renew unless cancelled before the renewal date
- You may cancel your subscription at any time through your account settings
- Refunds are provided in accordance with our refund policy
- We reserve the right to change pricing with reasonable notice
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Service will be uninterrupted or error-free
- Warranties regarding the accuracy of EDI parsing or validation results
- Warranties that the Service will meet your specific requirements
You acknowledge that EDI file structures can vary and that you should verify all parsing and validation results independently for critical operations.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAISAN AI, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, or business opportunities
- Damages resulting from errors in EDI file processing
- Damages arising from your use or inability to use the Service
- Damages related to unauthorized access to your account
Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Paisan AI, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.
Termination
We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including:
- Breach of these Terms
- Violation of applicable laws or regulations
- Conduct that we determine is harmful to other users or the Service
- Extended periods of inactivity
Upon termination, your right to use the Service will immediately cease.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Greenville County, South Carolina.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
